Important Announcement: Virtual AGMs and Electronic Voting are here to stay for Ontario Condo Corporations!
Late last week, the "Less Red Tape, Stronger Economy Act" (Bill 91) received royal assent, which among other things, amended the Condominium Act, 1998 (Condo Act) to:
- Permit condos to hold virtual or hybrid meetings.
- Permit voting to be done electronically.
- Permit notices and other documents are sent to owners electronically.
What Does This Mean for You?
For corporations governed under the Condo Act, these amendments to the Condo Act will permit corporations to call and hold owner meetings virtually, collect votes through telephonic or electronic and more without the requirement of passing a by-law. However, corporations will be able to make tweaks or restriction to meet their needs.
Annual General and Owners Meetings - Virtual and hybrid owners' meetings will be permitted, provided that all persons entitled to participate in the meeting can reasonably participate.
Electronic Voting - Owners will be able to vote through electronic means such as electronic ballots, voting by phone or fax.
Board Meetings - Virtual or hybrid directors' meetings will be permitted, provided that everyone participating in the meeting can communicate with each other simultaneously and instantaneously.
In addition, boards will no longer require the consent of all directors before being able to proceed virtually.
Notifying Owners by Emails - Condo corporations will be able to communicate and send notices to owners electronically unless prevented by a by-law.
These changes will come into effect on October 1, 2023. Until then, these measures continue to be permitted by the temporary schedule to the Condo Act in place until September 30, 2023.
